PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING THE SERVICE.

1. Introduction and Acceptance of Terms

These Terms and Conditions ("Terms") govern your access to and use of the website interface (the "Service") provided by KH Trading Group Inc. ("Company," "we," "us," or "our"). The Service provides an interface for users to interact with the NUMIS smart contract (the "Contract") deployed on the [Specify Blockchain Name, e.g., Ethereum] blockchain at address [Specify NUMIS Contract Address].

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our separate Privacy Policy [Link to Privacy Policy when available]. If you do not agree to these Terms, you must not access or use the Service.

We reserve the right to modify these Terms at any time. All changes will be effective immediately upon posting the updated Terms on the Service. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.

2. The Service

The Service is a user interface that allows you to interact directly with the decentralized and autonomous NUMIS smart contract. KH Trading Group Inc. provides this interface only. We do not own, control, or operate the underlying NUMIS smart contract or the [Specify Blockchain Name] network. Your interactions with the Contract are solely between you and the Contract, facilitated by the Service interface.

The Service is non-custodial. KH Trading Group Inc. does not have access to, custody of, or control over your private keys, passwords, digital assets, or funds at any time. You are solely responsible for managing and securing your own blockchain wallet(s).

3. User Eligibility and Responsibilities

• Eligibility: You must be at least 18 years old or the age of legal majority in your jurisdiction to use the Service.

• Wallet Security: You are solely responsible for maintaining the security and confidentiality of your wallet, including private keys, seed phrases, and passwords. Any activity occurring through your wallet address is your responsibility.

• Blockchain Understanding: You represent that you have a sufficient understanding of blockchain technology, cryptocurrency wallets, smart contracts, gas fees, and the risks associated with cryptographic and blockchain-based systems.

• Compliance with Law: You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations in your specific jurisdiction, including any laws regarding cryptocurrency, securities, and financial transactions. KH Trading Group Inc. does not represent that the Service is appropriate or available for use in all jurisdictions.

• Checking Fees: You are responsible for checking and understanding the currently applicable dynamic buy and sell fees (as described in Section 5) displayed within the Service interface beforesubmitting any transaction.

• Prohibited Conduct: You agree not to engage in any activity that interferes with or disrupts the Service, the Contract, or the underlying blockchain network, nor use the Service for any illegal purpose, including but not limited to money laundering or terrorist financing.

4. Risk Disclosures

YOUR USE OF THE SERVICE AND INTERACTION WITH THE CONTRACT IS ENTIRELY AT YOUR OWN RISK. YOU ACKNOWLEDGE AND AGREE THAT THE CRYPTOCURRENCY AND BLOCKCHAIN SPACE INVOLVES SIGNIFICANT RISKS. THESE RISKS INCLUDE, BUT ARE NOT LIMITED TO:

• Market Volatility: The value of cryptocurrencies, including NUMIS, USDT, and any assets contributing to the Contract's NAV (totalCoinValue), can be extremely volatile and subject to significant and unpredictable fluctuations. You may lose the entire value of your assets. Past performance is not indicative of future results.

• Smart Contract Risk: The NUMIS smart contract may contain bugs, errors, vulnerabilities, or flaws that could result in partial or total loss of funds or interfere with expected functionality. Even if audited, audits do not guarantee the absence of vulnerabilities. The code of the Contract is the final arbiter of its operation.

• Blockchain Protocol Risk: The underlying blockchain network may experience failures, forks, high transaction fees (gas costs), congestion, 51% attacks, or other issues that could negatively impact your transactions or assets. Transaction finality may vary.

• Regulatory Uncertainty: The legal and regulatory landscape surrounding cryptocurrencies and decentralized finance is uncertain and evolving. Changes in laws or regulations could adversely affect the operation of the Service, the Contract, or the value/utility of NUMIS tokens.

• No Financial Advice: KH Trading Group Inc. does not provide any investment advice, financial advice, trading advice, or recommendations of any kind. All information provided through the Service is for informational purposes only. You must conduct your own thorough research (DYOR) and consult with independent financial, legal, and tax advisors before making any decisions.

• Third-Party Risks: The Service may rely on third-party services, such as wallet providers (e.g., MetaMask) or blockchain node providers (RPC endpoints). Failures, bugs, or actions by these third parties are outside our control and could impact your ability to use the Service.

• Liquidity and Reserve Risk: The Contract's ability to facilitate sales of NUMIS tokens depends on the availability of assets like USDT within its reserves (availableUSDT). If these reserves are depleted, you may be unable to sell your tokens back to the Contract at the expected price or at all.

• Fee Variability Risk: As detailed in Section 5, the fees associated with interacting with the Contract are dynamic and subject to change.

5. Fees

• Contract Fees: Interacting with the NUMIS Contract involves certain fees applied directly by the Contract logic, including a buy fee when purchasing NUMIS from the Contract and a sell fee when selling NUMIS to the Contract. These fees are variable and subject to change. The currently applicable fee percentages are displayed within the Service interface. By submitting a transaction, you agree to the fee rates displayed at that time. It is your sole responsibility to review the current fees before initiating any transaction.

• Gas Fees: All transactions on the [Specify Blockchain Name] network require the payment of transaction fees, commonly known as "gas fees," to network validators/miners. You are solely responsible for paying these gas fees. Gas fees are determined by network conditions and are separate from and in addition to any fees applied by the NUMIS Contract.

6. Intellectual Property Rights

The Service interface, including its "look and feel," text, graphics, images, logos, and software, is the property of KH Trading Group Inc. or its licensors and is protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your personal, non-commercial purposes in accordance with these Terms.

7. Third-Party Services

The Service may integrate with or rely on third-party services, such as blockchain wallets or data providers. Your use of any third-party services is subject to their respective terms and conditions and privacy policies. KH Trading Group Inc. is not responsible for the performance, security, or actions of any third-party services.

8. Privacy Policy

Our collection and use of any information in connection with the Service are described in our Privacy Policy [Link to Privacy Policy when available], which is incorporated by reference into these Terms. Please note that while KH Trading Group Inc. minimizes data collection via the interface, your blockchain transactions and wallet address are public information recorded on the blockchain ledger.

9. Term and Termination

These Terms are effective beginning when you first access or use the Service and remain in effect until terminated. We reserve the right, in our sole discretion, to suspend or terminate your access to the Service, without notice or liability, for any reason, including but not limited to your breach of these Terms. You may terminate these Terms at any time by ceasing all use of the Service. Provisions of these Terms that by their nature should survive termination will remain in effect (including, but not limited to, risk disclosures, disclaimers, limitations of liability, indemnification, and governing law).

10. Disclaimers; Limitation of Liability

• Disclaimer of Warranties: THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, KH TRADING GROUP INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICE AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY, COMPLETENESS, SECURITY, RELIABILITY, OR AVAILABILITY OF THE SERVICE'S CONTENT OR THE CONTENT OF ANY SITES LINKED TO THE SERVICE.

• Limitation of Liability: TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL KH TRADING GROUP INC., ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICE OR THE CONTRACT, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO [Consult legal counsel - often limited to a nominal amount like $100 or fees paid, if any]. 11. Indemnification

You agree to indemnify, defend, and hold harmless KH Trading Group Inc. and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from your (a) use of the Service, (b) violation of these Terms, (c) violation of any rights of another party, or (d) violation of any applicable laws, rules, or regulations.

12. Modifications to the Service

We reserve the right to modify, suspend, or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. You agree that KH Trading Group Inc. will not be liable to you or to any third party for any modification, suspension, or discontinuance of the Service.

13. Governing Law and Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation shall be governed by and construed in accordance with the internal laws of the State of New York without giving effect to any choice or conflict of law provision or rule, and the applicable federal laws of the United States.

14. Miscellaneous

• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and KH Trading Group Inc. regarding your use of the Service.

• Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.

• No Waiver: Our failure to exercise or enforce any right or provision of these Terms will not operate as a waiver of such right or provision.
